Terms of Use

Welcome to wizhelp.com, we hope you enjoy the service we provide. Please be sure to read over the details in these Terms of Service. By signing up for a wizhelp.com account or using wizhelp.com's services you agree that you have read, understand the contents of, and agree to all terms and conditions. Should you have any questions concerning this Agreement, please contact webmaster@wizhelp.com.

WizHelp website is a service of Iteria SARL. WizHelp and WizHelp logo are trademarks of Iteria SARL.

Acceptance of Terms

WizHelp provides its service to you subject to the following Terms of Service ("TOS"), which may be updated by us from time to time without notice to you. When using particular WizHelp owned or operated services, you and WizHelp shall be subject to any posted guidelines or rules applicable to such services, which may be posted from time to time. All such guidelines or rules (including but not limited to our Spam Policy) are hereby incorporated by reference into the TOS. You can view the TOS at any time here. If any part of these Terms or any future changes to these Terms are not acceptable to you, do not use wizhelp's services and cancel your account if you have one.

Registration Obligation

We offer a registration process so that you may choose a member name ("Member Name" or "Login Id" or "Login Name") and a password. Your member name will be used to identify you on WizHelp. You may log in to WizHelp, use the Services or modify your information, only through your Member Name and password. You may not have more than one account, and only one email address for your use of the Limited Service. By registering, you certify that the email address you provide in the registration is accurate and belongs to you; otherwise we have the option of suspending your account with WizHelp.

You are responsible for maintaining the confidentiality of your password and for any and all activities that occur under your Screen Name and password. You agree to notify WizHelp immediately at webmaster@wizhelp.com of any unauthorized use of your account or any other breach of security you learn about.

You also agree that wizhelp.com has the possibility of contacting you through your e-mail, and you are responsible to make sure that WizHelp has your valid e-mail address.

To protect your privacy and the privacy of others, WizHelp uses Member Names to identify participants. We keep your email address and other information strictly confidential, unless you set them to be public in your account preferences.

Description of service

WizHelp provides to the users a communication tool allowing to take remote control of someone else's computer.

You understand and agree that the Service is provided "AS-IS" and that WizHelp assumes no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or personalization settings. You are responsible for obtaining access to the Service, and that access may involve third-party fees (such as Internet service provider or airtime charges). You are responsible for those fees, including those fees associated with the display or delivery of advertisements. In addition, you must provide and are responsible for all equipment necessary to access the Service.

Restrictions

Unauthorized use of the Services, or the resale of said Services without our prior written consent, is expressly prohibited. You shall not copy, sell, transfer, distribute, publish, or assign your license to the Services in any format to any third party.

WizHelp Services and Site are only available for use by individuals who are age 13 or over. Scripts and machines, may not use the Services and Site or automated services without our express written consent.

Subscriber Information

You agree to provide true, accurate, current and complete information about yourself as prompted by the Service registration process. In order to ensure that you receive uninterrupted service, you must promptly inform wizhelp.com of any of the following changes: in your email address; in home address; and in apparent breaches of security, such as loss, theft, or unauthorized disclosure or use of an ID or password. Until wizhelp.com is notified by e-mail of a breach in security, you will remain liable for any unauthorized use.

User Conduct

WizHelp Services and Site may be used only for lawful purposes. You must comply with all applicable local, state, national and international laws, regulations or conventions, including without limitation those related to data privacy, international communications, and exportation of technical or personal data. You may not use the WizHelp Services or Site for any criminal or illegal activities or any activities that might be legally actionable.

WizHelp reserves the right to determine what constitutes Internet abuse and objectionable conduct. If WizHelp believes, in its sole discretion, that a misuse of the Service has occurred, it may take responsive action. Such action may include, but not be limited to, permanent removal of illegal or inappropriate information or content, or suspension or termination of your membership and access to WizHelp Service and site.

Actions stricly forbidden:

  • Using a Screen Name or posting, transmitting or linking to any text or images that are sexually explicit, pornographic, violent, racially or ethnically objectionable or grossly offensive to the online community.
  • Posting, transmitting or linking to defamatory and libelous statements or other statements that would violate any third party's privacy or publicity rights.
  • Posting, transmitting or linking to profane language, descriptions of situations or scenarios considered, in the opinion of WizHelp, inappropriate for the WizHelp membership.
  • Impersonating any person or using a name that you are not authorized to use could lead to a suspension.
  • Planning illegal activities, such as creating computer viruses, building a bomb or counterfeiting money or pirating software, Serial Numbers of products for which you do not have a registered license.
  • Advertising, promoting in any way or offering to sell any goods or services for any commercial purpose.
  • Soliciting individuals to join other services comparable to or competitive with WizHelp.
  • Posting links in open questions or in personal profiles that lead to a competitor's site.
  • Promoting any products or services that are unlawful at the location at which the content is posted or received.
  • Posting any content that infringes any third party's intellectual property rights or violates any confidentiality agreements or contracts of employment.
  • Posting, transmitting or linking to statements that are intentionally false or misleading.
  • Introducing viruses, worms, harmful codes or Trojan horses.
  • Spamming, flaming or other similar activities.

Violations of system and network security are strictly prohibited. You may not misuse system resources including but not limited to employing posts or programs which consume excessive CPU time or storage space, permitting use of mail services, mail forwarding capabilities, POP accounts or auto-responders other than for your own account. If you notice a problem with other members not following these Guidelines, please notify us by sending an e-mail at webmaster@wizhelp.com.

Cancellation

You may cancel your account at any time by sending an e-mail to webmaster@wizhelp.com.

Termination and End of Service

This Agreement shall be effective for as long as you use the Services.

You acknowledge that wizhelp.com, in its sole discretion, may terminate your ID, password, account (or any part thereof) or use of the Services for any reason, including, without limitation, if wizhelp.com believes that you have violated or acted inconsistently with the letter or spirit of this Agreement or any wizhelp.com user Agreements. wizhelp.com may also, in its sole discretion, at any time discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your access to the Service under any provision of this Agreement may be effected without prior notice, and acknowledge and agree that wizhelp.com may immediately deactivate or delete your account and/or bar any further access to the Services. Further, you agree that wizhelp.com shall not be liable to you or any third-party for any termination of your access to the Services.

Privacy

We respect your privacy and have taken specific steps to protect it. Please see our Privacy Policy for a description of our privacy practices. The terms of our Privacy Policy are incorporated into these Terms by reference and constitute part of the agreement between you and wizhelp.com.

Proprietary Rights.

Except for the licenses granted herein, you have no right, title or interest in or to Services or any content contained in the Services ("Content"). You acknowledge and agree that the Services, Content, and any necessary software used in connection with the Services ("Software") contain proprietary and confidential information that is protected by intellectual property and other applicable laws, and that wizhelp.com or its licensors retain all proprietary right, title and interest, including copyright and all other intellectual property rights, in the Services, Content, and Software, including, without limitation, text, images, other multimedia data, source code, and object code. wizhelp.com and/or other wizhelp.com products and services referenced herein are either trademarks or registered trademarks of Iteria SARL. wizhelp.com grants you a limited, personal, non-transferable, non-exclusive license, in object code only, to use the Software. You agree not to, for the benefit of yourself or a third party, modify, reverse engineer, or create derivative works from any proprietary information, Software, or the Services.

No Warranties; Indemnification; Limitation of Liability.

wizhelp.com is in no way liable for loss of customer data. Under no circumstances will wizhelp.com be held accountable for any loss of customer data. By becoming a wizhelp.com user you acknowledge that you forfeit the right to hold wizhelp.com accountable for any and all technical errors, including loss of user files (customer data).

WIZHELP.COM PROVIDES THE SERVICES "AS IS" AND WITHOUT ANY WARRANTY OR CONDITION OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. IN PARTICULAR, WIZHELP.COM DOES NOT GUARANTEE UNINTERRUPTED, SECURE OR ERROR-FREE OPERATION OF WIZHELP.COM’S SERVERS FOR THE SERVICES. SOME U.S. STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THE ABOVE DISCLAIMER MAY NOT APPLY.

You agree to indemnify and hold wizhelp.com harmless from and against any and all claims, costs, damages, losses, liabilities, and expenses (including, without limitation, attorneys' fees and costs) resulting from or in connection with your use of wizhelp.com services or breach of this Agreement.

IN NO EVENT SHALL WIZHELP.COM BE LIABLE FOR LOST PROFITS OR SPECIAL, INCIDENTAL, INTANGIBLE OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO DAMAGES FOR BREACH OF CONTRACT OR WARRANTY OR FOR NEGLIGENCE OR STRICT LIABILITY) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE SERVICES, EVEN IF WIZHELP.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. USE OF THE SERVICE IS AT YOUR SOLE RISK.

In the event that, notwithstanding the foregoing disclaimers and indemnification, wizhelp.com is found responsible to any wizhelp.com user for any reason whatsoever, wizhelp.com's responsibility shall be limited to the amounts actually paid by such user for wizhelp.com's services, and shall not include punitive damages or consequential or resulting damages of any nature. wizhelp.com does not guarantee length of service.

Force Majeure

wizhelp.com is not responsible for circumstances beyond its control, including without limitation actions of third parties, force majeure, natural disasters, or similar circumstances. Further, wizhelp.com does not provide any warranties respecting its services, and specifically disclaims any warranty of merchantability or suitability for particular purposes.

Severability

If any provision of this Agreement or portion thereof is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

No Resale of service

You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service.

Changes

You agree that wizhelp.com has the right to change the terms, conditions, and notices under which it offers the Services, including any charges associated with the use of the Services. If wizhelp.com decides to make substantial changes to these Terms, it will post the changes to its website. wizhelp.com suggests that you periodically check these Terms on the wizhelp.com web site to make sure that your understanding of the Terms is up to date. Your continued use of the Services after the effective date of such changes constitutes your acceptance of and agreement to such changes.

Governing Law; Compliance with Law.

These Terms shall be governed by and construed in accordance with the laws of France without regard to the conflicts of laws. wizhelp.com makes no representation that materials used within the Services are appropriate for use outside France, and access to the Services from locations where its contents are illegal is prohibited. If you access the Services from outside France, you are responsible for compliance with local laws. You may not use the Services or export or re-export the Content, Software or Services contained on or made available through the Services in violation of France export laws and regulations.

Our failure to enforce any right under these Terms will not waive that right. If any provision of these Terms is invalid, these Terms should be interpreted to effect the intent of the parties, and the remaining provisions will remain in effect. You must file any claim or suit related to the Terms or the Services within three years after it arises.

These terms represent the entire agreement between you and wizhelp.com relating to your use of the Services. Any prior representation or statement in respect thereof is hereby excluded. The terms of the license agreement accompanying any Software govern your use of such Software.

NO COMMERCIAL USE

Other than using the Services for conferences or sessions in which You are an active participant, and as permitted under the terms and conditions of this Agreement or other written agreements between You and WizHelp, You may not resell, distribute, make any commercial use of, use on a timeshare or service bureau basis, or use to operate a Web-site or otherwise generate income from the Services. However, you may freely use WizHelp as part of an existing customer support function that You (or a company in which You are employed) provides for its own products or for that of others.

PROPRIETARY RIGHTS

WizHelp and/or its suppliers, as applicable, retain ownership of all proprietary rights in the Services and in all trade names, trademarks and service marks associated or displayed with the Services. You will not remove, deface or obscure any of WizHelp's or its suppliers' copyright or trademark notices and/or legends or other proprietary notices on, incorporated therein, or associated with the Services. You may not reverse engineer, reverse compile or otherwise reduce to human readable form any software associated with the Services.
